Fooze Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Fooze mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Fooze is a food delivery comparison service that allows you to browse nearby restaurants, compare delivery options across supported third-party platforms, and view side-by-side pricing, delivery fees, estimated delivery times, and promotions. Fooze is a comparison tool. When you place an order through the App, Fooze submits that order to the selected third-party delivery platform on your behalf using your connected account; the resulting order, payment, and delivery are between you and that platform, not Fooze.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the App. By using the App, you represent and warrant that you meet these requirements.

4. Account Registration

To use certain features, you must create a Fooze account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Third-Party Platform Accounts

To compare prices and place orders, you may connect your existing accounts on supported third-party delivery platforms to Fooze. By doing so, you:

(a) Represent that you are the authorized owner of those accounts;

(b) Grant Fooze permission to access those accounts on your behalf to retrieve restaurant, menu, pricing, and delivery information;

(c) Acknowledge that you sign in on each platform's own login page and that Fooze never sees, captures, or stores your platform username or password; the session tokens that keep you connected are stored securely on your device and are held only in memory on our servers (never written to disk or stored at rest) so we can retrieve information on your behalf;

(d) Understand that your use of third-party platforms remains subject to those platforms' own terms of service and privacy policies.

6. Orders and Transactions

Fooze facilitates price comparison and submits your order to the selected third-party platform on your behalf, but does not itself process payments or fulfill orders. When you place an order through the App, the resulting transaction is between you and the selected third-party delivery platform. Fooze is not responsible for:

(a) The accuracy of pricing, availability, or delivery estimates displayed (these are sourced from third-party platforms and may change);

(b) Order fulfillment, food quality, delivery issues, or customer service;

(d) Any disputes between you and a third-party platform or restaurant.

7. Acceptable Use

You agree not to:

(a) Use the App for any unlawful purpose;

(b) Attempt to reverse-engineer, decompile, or disassemble the App;

(d) Interfere with or disrupt the App's infrastructure;

(e) Share your account credentials with third parties;

(f) Use the App in any manner that could damage, disable, or impair its operation.

8. Intellectual Property

The App, including its design, features, and content, is owned by Fooze and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes. Third-party platform names, logos, and trademarks belong to their respective owners.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FOOZE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE INFORMATION DISPLAYED (INCLUDING PRICES, FEES, AND DELIVERY ESTIMATES) WILL BE ACCURATE OR CURRENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOOZE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP. FOOZE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO FOOZE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fooze and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the App at any time, with or without cause and with or without notice. Upon termination, your right to use the App ceases immediately. You may delete your account at any time through the App's settings.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or by email. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
